Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Stak platform ("Service"), operated by Adamas Group SA, a company incorporated under Swiss law with its registered office at Route des Acacias 43, 1227 Geneva, Switzerland ("Provider", "we", "us").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Account Terms

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials, including enabling two-factor authentication (2FA) when available.

You are responsible for all activity that occurs under your account. You must notify us immediately at mail@stak.pe if you become aware of any unauthorized use of your account.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service.

2. Service Description

Stak is a SaaS platform for Private Equity deal management, providing SPV structuring, investor management, document generation, commission tracking, and an investor portal. The Service is provided on a subscription basis according to the plan selected.

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice. Material changes to the Service will be communicated at least 30 days in advance.

3. Subscription & Payment

The Service is offered under monthly or annual subscription plans as described on our Pricing page. Annual subscriptions are billed upfront and include a discount as displayed at the time of purchase.

All fees are quoted in US Dollars (USD) and are exclusive of applicable taxes. You are responsible for any taxes, duties, or levies imposed by your jurisdiction.

Subscriptions renew automatically at the end of each billing period unless cancelled at least 7 days before the renewal date. Cancellation takes effect at the end of the current billing period — no pro-rata refunds are issued for partial periods.

4. Data Ownership & Privacy

You retain all rights, title, and interest in your data ("Customer Data"). We do not claim ownership of Customer Data. We process Customer Data solely to provide and improve the Service, in accordance with our Privacy Policy and applicable data protection laws.

You may export your Customer Data at any time using the platform's export functionality (CSV, Excel). Upon account termination, we will retain your data for 30 days to allow retrieval, after which it will be permanently deleted from our systems, including backups, within 90 days.

Our data processing practices comply with the EU General Data Protection Regulation (GDPR) and the Swiss Federal Act on Data Protection (nFADP). For details, see our Privacy Policy.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Interfere with the security or integrity of the Service
  • Upload malicious code, viruses, or harmful content
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit personal data in violation of data protection laws
  • Resell, sublicense, or redistribute the Service without written consent

Violation of this section may result in immediate suspension or termination of your account.

6. Intellectual Property

The Service, including its software, design, documentation, and branding, is the intellectual property of Adamas Group SA. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it under your subscription.

You may not use our trademarks, logos, or branding without prior written consent.

7. Limitation of Liability

To the maximum extent permitted by Swiss law, Adamas Group SA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total aggregate liability under these Terms shall not exceed the amounts paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.

8. Termination

Either party may terminate the subscription at any time. You may cancel your subscription through your account settings or by contacting mail@stak.pe.

We may terminate or suspend your access immediately if you breach these Terms, fail to pay applicable fees, or engage in conduct that we reasonably believe may harm the Service or other users.

Upon termination, your right to access the Service ceases immediately. Your data will be available for export for 30 days following termination, after which it will be permanently deleted.

9. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Service availability commitments are governed by our Service Level Agreement.

10. Force Majeure

Neither party shall be liable for any delay or failure to perform obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemic, war, terrorism, or failure of third-party services.

11. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated at least 30 days before they take effect, via email or a notice on the Service. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
